Conditions of Colltex AG

**1. CONCLUSION OF CONTRACT** Orders can be placed in writing, by telephone, or electronically. Upon the order being placed, the General Terms and Conditions of Colltex AG shall apply and be deemed an integral part of the contract between the purchaser and Colltex AG. **2. PURCHASE PRICE** The price list of Colltex AG valid at the time the order is placed shall be decisive. Prices are subject to change due to unforeseen circumstances. The statutory value-added tax is not included in the purchase price. **3. TERMS OF PAYMENT** Unless otherwise agreed, a payment period of 30 days net from the date of the invoice shall apply. In exceptional cases, Colltex AG reserves the right to deliver against advance payment. **4. DEFAULT OF PAYMENT** If the purchaser should fail to pay the purchase price in accordance with the payment deadline, he shall be considered in default without a reminder. From the 31st day after the issue date of the invoice, the purchaser shall owe a default interest of 5%. At the same time, Colltex AG shall be entitled to set a grace period of 14 days and withhold further deliveries. The goods shall remain the property of Colltex AG until the purchase price has been paid in full. **5. DELIVERY DATE** The delivery date requested by the purchaser will be complied with if possible. If this is not feasible, a new date will be agreed on with the purchaser. Compliance with the delivery date requires an undisturbed production process. If the agreed delivery deadline cannot be met, Colltex AG shall inform the customer in good time and seek a solution. Partial deliveries shall be permissible at any time though. **6. SHIPPING COSTS** If no other agreement exists, the delivery of a pre-order shall be carriage paid, including packaging. This provision also applies to partial deliveries due to a delay in delivery on the part of Colltex AG. In the event of a subsequent order, postage will be charged for up to a net order value of CHF 300; for anything additional, delivery will be free. **7. PROVISIONS RE PRICE LABELS** The purchaser undertakes to comply with the statutory provisions concerning price labelling. He shall undertake to refrain from any misleading advertising. **8. LIABILITY AND WARRANTY CLAIMS** The purchaser shall be obliged to inspect the goods upon receipt. Any defects of the delivered goods shall have to be reported in writing within 7 (seven) days of receipt or, in the case of hidden defects, within 7 (seven) days of discovery. Otherwise, the goods shall be deemed to have been approved. In the case of defects which are reported in due time, the purchaser has the right to demand subsequent deliveries of goods free of defects. Any further claims based on possible defects and, in particular, claims for damages (including claims for consequential damages) as well as the right to withdraw from the contract shall be excluded. Only the written warranty provisions of Colltex AG shall apply vis-à-vis the end user. The purchaser shall not be entitled to provide the end user with further guarantees at the expense of Colltex AG. Damages due to natural wear and tear, improper use, and incorrect handling shall be excluded from the guarantee. **9. SERVICES TO BE RENDERED BY THE PURCHASER** The purchaser undertakes to provide the full range of services corresponding to a specialist shop, such as advice, selection, and service. He also undertakes to maintain, at all times, his specialist, state-of-the-art knowledge or that of his personnel and technical equipment. If the purchaser also offers the goods for sale online, he shall have to make any consulting and services available to the end customer by telephone. The purchaser undertakes not to pass on the data and passwords for electronic access arising within the scope of the business relationship to unauthorized third parties and to protect such data against access by unauthorized persons and from misuse. **10. DATA PROTECTION** Colltex AG may use the data recorded within the scope of the contract entered into to fulfil the obligation arising from said purchase contract. The data may also be passed on to commissioned and authorized service partners or other third parties if this should be necessary to perform the agreed service. The exclusive venue and place of performance shall be the registered offices of Colltex AG in Glarus.
